Terms and Conditions of Service – NautiBot AI

These Terms and Conditions govern the commercial relationship between the provider of the NautiBot AI service (hereinafter "NautiBot") and the Client (tourist operator or boat tour company).

By using the service, the Client declares to have read, understood and fully accepted these Terms.

 

1. Service Provider Identification

The NautiBot AI service is operated by a self-employed individual established in Portugal.

2. Nature of the Service (B2B)

NautiBot AI is a software and technology integration service (SaaS) intended exclusively for professional use.

The service consists of:

  • Creation and initial training of the chatbot
  • Technical configuration for the Client's website
  • Integration with external automation tools
  • Configuration of contact capture or pre-booking request flows

The service is intended for tourist operators, boat tour companies or maritime tourism activity providers.

 

 

3. Trial Period

NautiBot may offer a free trial period for demonstration of the tool.

During this period:

  • The system may be tested on the Client's website
  • The Client may evaluate the chatbot's performance.

Once the trial period ends, the service may be interrupted if a paid plan is not activated.

 

4. Pricing and Payments

Service prices are listed on the website nautibot.pt.

Payments correspond to the provision of professional services and will be documented through:

  • Professional Invoice issued in accordance with Portuguese tax legislation.

 

 

5. Service Cancellation

The Client may cancel the service at any time.

Cancellation takes effect at the end of the already paid period.

Due to the professional nature of the service and the existence of a trial period, no refunds are provided after the activation of a paid plan.

 

 

6. Technical Implementation

NautiBot installation is carried out remotely.

To allow implementation, the Client may temporarily provide technical access to their website or platform.

Upon completion of the installation, the Client must change any shared access credentials.

NautiBot is not responsible for security incidents resulting from the retention of those credentials.

 

6.1 Technical Google Account for System Integration

To enable the technical operation of the NautiBot system, it may be necessary to use a Google account (Gmail) associated with the system installed on the Client's website.

This account may be used exclusively to enable the technical integrations necessary for the operation of the service, including:

• Receiving chatbot conversation histories
• Storing contacts and interactions in Google Sheets
• Operation of the technical automations connecting the chatbot to the system tools

These integrations may involve external technology platforms, such as:

• Google Sheets
• Automation systems used by the technical infrastructure of the service

In accordance with NautiBot's operating model and privacy policy:

• Data collected by the chatbot belongs to the website operator
• NautiBot does not maintain a centralised database of these contacts
• Collected data must remain under the direct control of the Client

For this reason, integrations may be configured using a Google account belonging to the Client themselves.

The Client may choose:

Option 1 (recommended)
Create a Gmail account dedicated exclusively to the NautiBot system.

Option 2
Temporarily provide access to an existing Google account for technical configuration purposes

If temporary access is required for installation or initial configuration, the Client may provide temporary credentials to NautiBot.

Upon completion of the system installation and configuration:

• The Client may change the account password
• NautiBot will no longer have access to the account
• All data generated by the chatbot will remain under the exclusive control of the Client.

This procedure aims to ensure operational transparency and compliance with the General Data Protection Regulation (GDPR), in alignment with the remaining legal documentation of the NautiBot service.

 

7. Third-Party Technology Tools

The operation of NautiBot may depend on the use of external technology services.

These may include, among others:

  • Chatbot platforms
  • Automation systems
  • Cloud Services
  • Sistemas de armazenamento de dados

These services are operated by independent entities and subject to their own legal terms.

NautiBot does not directly control these platforms.

 

 

8. Data Responsibility Structure

The processing of personal data in the context of the service is described in the document:

Data Processing & Service Integration Agreement (DPA)

In summary:

Data collected on nautibot.pt
NautiBot's responsibility.

Data collected on the Client's website
Sole responsibility of the Client (tourist operator).

NautiBot does not access or store personal data collected through the chatbot installed on the Client's website (tourist operator).

 

9. Intellectual Property, Technical Infrastructure and System Management

9.1 Intellectual Property

All software, methodology, automation architecture, integration logic, technical flows, configurations and operational structure associated with the NautiBot AI service constitute the exclusive intellectual property of NautiBot.

The Client receives only a limited, personal and non-transferable licence to use the service, valid for the duration of the contract.

This licence does not confer any ownership rights over the system.

 

9.2 Proprietary Technical Infrastructure

The operation of NautiBot may depend on technical integrations between different technology platforms.

The configuration of these integrations, including the connection between chatbot tools, automation and data processing, constitutes proprietary technical infrastructure of NautiBot and a professional trade secret of the service provider.

These configurations are created and managed exclusively by NautiBot and are not made available to the Client or to third parties.

 

9.3 Restricted Technical Access

The Client acknowledges that access to the accounts and technical configurations used for the operation of NautiBot is exclusive to NautiBot.

Consequently:

  • Third parties may not access the technical accounts used to operate the system
  • Third parties may not modify the technical integrations of the service
  • Third parties may not analyse or reproduce the technical architecture of the system.

This restriction applies only to the integrations and systems that form part of the internal operation of NautiBot.

The Client retains full freedom to work with third parties on any other element of their website or digital infrastructure

 

9.4 Installation on the Client's Website

For the purpose of operating the system, NautiBot provides the Client with a code or technical widget that must be integrated into the tourist operator's website.

This code enables communication between the Client's website and NautiBot's technical infrastructure.

The Client does not receive access to the internal integrations that support this operation

NautiBot reserves the right to manage and update this technical code whenever necessary to ensure the operation, security, improvement or scalability of the service.

Whenever necessary, NautiBot may contact the Client to request the update, replacement or reinstallation of the code on the tourist operator's website.

If the Client does not respond or does not carry out the requested update within a reasonable timeframe, NautiBot cannot guarantee the correct operation of the system.

Any interruptions, operational limitations or failures resulting from the failure to update the code requested by NautiBot shall not constitute NautiBot's responsibility.

The technical management of this code is part of the service operation, and NautiBot may request changes whenever necessary for the evolution of the product or technical infrastructure.

 

9.5 Client Data Managemen

Personal data collected through the chatbot is sent directly to storage infrastructures configured for the Client.

Namely:

  • operator's email
  • Spreadsheet (Google Sheet) controlled by the Client.

The Client has full and exclusive access to this database and is responsible for its management.

 

9.6 Alterações à Base de Dados

Caso o Cliente altere manualmente a estrutura da base de dados, campos, integrações ou automações que suportam o funcionamento do sistema, poderá ocorrer interrupção ou mau funcionamento do serviço.

In these cases:

  • Responsibility for the changes lies solely with the Client
  • Restoring the original configuration may incur an additional technical reconfiguration fee, in accordance with the time required to re-establish the system's operation.

 

9.7 Proteção do Modelo Operacional

O Cliente compromete-se a não utilizar o conhecimento obtido através da utilização do serviço para:

  • Reproduzir o sistema NautiBot
  • Desenvolver soluções técnicas equivalentes
  • Permitir que terceiros analisem ou repliquem a arquitetura técnica do serviço.

 

 

9.8 Identificação do Serviço (Branding)

O chatbot disponibilizado pela NautiBot inclui, por defeito, uma referência visual e/ou textual ao serviço (“Powered by NautiBot AI” ou similar). Esta menção é parte integrante da identidade do produto e não deve ser removida ou ocultada pelo Cliente.

 

9.9 Opção de Remoção de Marca (White Label)

Caso o Cliente pretenda utilizar o sistema sem qualquer referência visual à NautiBot AI (modalidade White Label), aplicar-se-ão as seguintes condições:

  • Custo Adicional: A remoção da marca implica o pagamento de uma taxa adicional correspondente ao dobro (100% de acréscimo) do valor anual do plano subscrito.

  • Periodicidade: Uma vez que o serviço é renovado anualmente, a taxa de remoção de marca é igualmente anual, devendo ser liquidada no momento da renovação do serviço para que a omissão da marca se mantenha ativa.

  • Acordos Excecionais: Qualquer alteração a estas condições ou remoção da marca sem o pagamento da taxa referida carece de um acordo escrito e assinado por ambas as partes.

 

10. Dependência de Infraestrutura Externa

O funcionamento do sistema pode depender de:

  • cloud services
  • APIs externas
  • plataformas de automação
  • ferramentas de terceiros.

A NautiBot não garante a disponibilidade contínua dessas infraestruturas.

Interrupções causadas por serviços externos não constituem incumprimento contratual.

 

 

11. Natureza da Ferramenta

O NautiBot AI é uma ferramenta de apoio à comunicação com visitantes do website.

O sistema pode:

  • Responder automaticamente a perguntas
  • Recolher contactos
  • Organizar pedidos de pré-reserva.

Contudo, a NautiBot não garante resultados comerciais, tais como:

  • Volume mínimo de reservas
  • Número mínimo de leads
  • Aumento específico de vendas.

O desempenho depende de fatores externos, incluindo:

  • Tráfego do website
  • Qualidade da oferta do cliente
  • Estratégia comercial do cliente.

 

 

12. Limitação de Responsabilidade

Na medida máxima permitida por lei, a responsabilidade da NautiBot limita-se ao valor do último pagamento efetuado pelo Cliente.

A NautiBot não será responsável por:

  • Perdas indiretas
  • Lucros cessantes
  • Interrupções de serviços externos
  • Decisões comerciais do Cliente
  • Incumprimento do RGPD por parte do Cliente.

 

 

13. Alteração dos Termos

A NautiBot pode atualizar estes Termos e Condições sempre que necessário.

As alterações entram em vigor após publicação no website.

A continuação da utilização do serviço constitui aceitação das novas condições.

 

 

14. Lei Aplicável

Estes Termos regem-se pela legislação portuguesa.

Para a resolução de qualquer litígio, as partes elegem o foro da comarca da residência fiscal do titular da marca NautiBot, com renúncia expressa a qualquer outro.

 

 

15. Continuidade do Serviço e Cessação por Encerramento da Atividade

O serviço NautiBot AI é atualmente operado por trabalhador independente.

Na eventualidade de cessação da atividade profissional, encerramento da operação do serviço, insolvência ou qualquer circunstância que impeça a continuidade da prestação do serviço, a NautiBot poderá suspender ou terminar definitivamente o funcionamento do sistema.

Nestes casos, a responsabilidade da NautiBot limita-se exclusivamente ao período de serviço já pago pelo Cliente.

A NautiBot não assume qualquer obrigação de continuidade futura do serviço para além do período de subscrição já liquidado pelo Cliente.

A cessação do serviço nestas circunstâncias não confere direito a indemnizações, compensações ou reembolsos adicionais para além do período já pago e não utilizado, se aplicável.
